These Terms & Conditions ("Terms") govern your access to and use of the Final Draft UI website, products, downloads, documentation, design files, components, templates, resources, and related services (collectively, the "Service" or "Products").
By accessing our website, purchasing, downloading, installing, copying, modifying, or using any Final Draft UI Products, you agree to be bound by these Terms, all applicable laws and regulations, and any additional license terms that apply to the Product you purchase or download.
If you do not agree to these Terms, you may not access, purchase, download, or use Final Draft UI Products.
These Terms form a legally binding agreement between you ("you", "your", or "Licensee") and Final Draft UI ("Final Draft UI", "we", "us", or "our").
Who we are
Final Draft UI is a design system and UI kit product that provides design assets, tokens, components, documentation, templates, code resources, and related materials for designers, developers, founders, teams, and product builders.

Products covered by these Terms
These Terms apply to all Final Draft UI products and resources, including but not limited to:
Free UI kit files
Paid Figma design system files
Design tokens and variable systems
Component libraries
Website and application examples
Templates, blocks, and patterns
Documentation and setup guides
Prompt libraries, agent guidelines, AI workflow resources, or downloadable
.mdfilesFuture code libraries, registries, CLI tools, React components, or related developer resources
Any updates, improvements, or additions made available to you
Together, these are referred to as the "Products" or "Items" throughout these Terms.
Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase or use paid Final Draft UI Products.
By using the Service, you confirm that you have the legal authority to enter into these Terms on behalf of yourself or the company, team, or organization you represent.
License to use Final Draft UI
When you purchase or download a Final Draft UI Product, you receive a limited, non-exclusive, non-transferable, revocable license to use the Product according to the license tier, plan, or product terms that apply at the time of purchase or download.
Unless otherwise stated, your license allows you to use Final Draft UI to design, build, prototype, and ship websites, applications, digital products, internal tools, and client projects.
Your license does not transfer ownership of Final Draft UI or any underlying intellectual property to you.
Permitted use
Subject to your license tier and these Terms, you may use Final Draft UI to:
Create personal, commercial, or client projects
Design websites, apps, dashboards, landing pages, prototypes, and digital products
Customize components, tokens, styles, variables, and layouts for your own projects
Use the design system as a foundation for products you or your team build
Use included documentation, prompts, and guidelines to support your design and development workflows
Publish finished work created using Final Draft UI, provided you do not redistribute the source Product itself
Prohibited use
You may not:
Resell, sublicense, share, redistribute, lease, rent, or give away Final Draft UI source files or Products as-is
Upload Final Draft UI source files to public marketplaces, template libraries, file-sharing platforms, or repositories
Repackage Final Draft UI as your own UI kit, design system, template pack, component library, or competing product
Share paid files, private links, license keys, downloads, or access credentials with people who are not covered by your license
Use Final Draft UI to create a directly competing design system, UI kit, component library, template product, or asset library for resale
Remove copyright, ownership, license, or attribution notices from files where such notices are included
Use the Products in a way that violates applicable laws, regulations, or third-party rights
Use automated scraping, extraction, cloning, or bulk downloading methods to reproduce or redistribute the Products
Claim ownership of Final Draft UI’s original source assets, token architecture, documentation, product structure, or component system
Client work
You may use Final Draft UI to create work for clients, provided that:
The final deliverable is a finished design, website, application, or product created for that client
You do not transfer the original Final Draft UI source files to the client unless your license expressly allows it
The client does not receive independent rights to reuse, redistribute, resell, or republish Final Draft UI as a design system or UI kit
Any team members, contractors, or collaborators accessing the source Product are covered by an appropriate license
If a client requires direct access to the original Final Draft UI source files, they may need their own license.
Team and seat usage
If you purchase a team, agency, or multi-user license, access is limited to the number of users, seats, or team members included in your license.
You are responsible for ensuring that only authorized users access the Products. You may not share a single-user license across a team, agency, company, or multiple unrelated users.
If your team grows beyond the permitted license scope, you must upgrade to the appropriate license.
Free products
Final Draft UI may offer free products, starter files, sample components, templates, or documentation.
Free Products may be used according to the license terms provided with that Product. Unless otherwise stated, free Products are provided for evaluation, learning, prototyping, and limited production use.
We may update, remove, restrict, or change free Products at any time.
Paid products
Paid Products may include additional components, advanced design system files, commercial usage rights, token systems, templates, examples, documentation, AI workflow resources, or future updates depending on the plan purchased.
Your purchase grants access only to the Product, license tier, and benefits described at the time of purchase, unless otherwise stated.
Future updates
Some Final Draft UI purchases may include future updates. If updates are included, we may provide improvements, fixes, new components, new examples, documentation updates, or other additions at our discretion.
Future updates are not guaranteed to follow a fixed schedule unless expressly stated.
We may change, rename, restructure, replace, or discontinue parts of the Product over time as Final Draft UI evolves.
Lifetime updates, where offered, refer to updates for the lifetime of the specific Product, not the lifetime of the customer, business, platform, or any unrelated future product.
Access and delivery
Products may be delivered through download links, Figma files, private file access, documentation links, email, third-party platforms, license dashboards, or other delivery methods.
You are responsible for downloading, duplicating, backing up, and safely storing any files you purchase or receive access to.
We are not responsible for your loss of access caused by deleted files, incorrect email addresses, third-party account issues, expired links, platform restrictions, or failure to download or duplicate files within the available access period.
Figma, third-party platforms, and tool dependencies
Final Draft UI may rely on or integrate with third-party tools such as Figma, Framer, React, Tailwind CSS, package managers, AI tools, payment processors, hosting providers, or documentation platforms.
We do not own or control these third-party tools and are not responsible for their availability, pricing, changes, outages, terms, policies, or feature limitations.
Your use of third-party platforms is governed by their own terms and privacy policies.
AI workflow resources and prompts
Final Draft UI may include prompts, agent guidelines, AI workflow files, or other resources intended to help you use Final Draft UI with AI-assisted design and development tools.
These resources are provided for guidance only. AI outputs can vary and may be incomplete, inaccurate, inaccessible, non-compliant, or unsuitable for production without human review.
You are responsible for reviewing, testing, validating, and adapting any AI-generated output before using it in production or client work.
Final Draft UI does not guarantee that any AI tool will reproduce components, layouts, code, tokens, or documentation perfectly.
Code resources and developer materials
If Final Draft UI provides code examples, React components, registries, CLI tools, package files, or developer resources, they are provided as tools to help you build faster.
You are responsible for reviewing, testing, securing, and validating all code before using it in production.
Unless expressly stated, code resources are provided without any guarantee that they are free from bugs, vulnerabilities, compatibility issues, or breaking changes.
Payments
Purchases are processed by third-party payment providers. By making a purchase, you agree to provide accurate billing and payment information and to comply with the payment provider’s terms.
We reserve the right to refuse, cancel, suspend, or revoke access to an order, license, or Product if:
Fraud, abuse, or an unauthorized transaction is suspected
Payment fails, is reversed, disputed, or charged back
We believe the purchase violates these Terms
We detect license sharing, unauthorized redistribution, or other misuse
We are required to do so by law or by a payment provider

Taxes
Prices may exclude taxes, VAT, duties, or other government charges unless otherwise stated.
You are responsible for any taxes that apply to your purchase. Where required, our payment provider may calculate, collect, and remit taxes on our behalf.
Refund policy
Due to the digital nature of Final Draft UI Products, all sales are generally final once access has been granted, files have been downloaded, or digital materials have been delivered.
However, we may consider refund requests in limited circumstances, such as duplicate purchases, or technical access issues that cannot reasonably be resolved.
Refund requests must be submitted to help@finaldraftui.com within 7 days of purchase.
We reserve the right to approve or deny refund requests at our discretion, subject to applicable consumer protection laws.
Refunds may not be granted where:
You changed your mind after downloading or accessing the Product
You no longer need the Product
You expected features that were not advertised at the time of purchase
You lack the required software, tools, skills, or platform access to use the Product
You purchased the wrong license and continued using the Product
You violated these Terms
Nothing in this policy limits any non-waivable rights you may have under applicable law.
Intellectual property
Final Draft UI, including its original design files, components, tokens, styles, variables, naming systems, documentation, templates, examples, copy, visuals, product structure, and related materials, is owned by Final Draft UI and protected by copyright, trademark, and other intellectual property laws.
All rights not expressly granted to you are reserved by Final Draft UI.
You may not use the Final Draft UI name, logo, brand assets, trademarks, trade dress, or product identity in connection with any product or service without prior written permission.
User feedback and suggestions
If you submit feedback, ideas, suggestions, bug reports, feature requests, testimonials, or other comments, you grant us permission to use them to improve, market, and develop Final Draft UI without restriction or compensation to you.
We will not publish private feedback with your name, company, or identifying details without permission, unless it was already shared publicly by you.
User content
If you submit content to us, such as support messages, screenshots, Figma links, examples, files, or testimonials, you confirm that you have the rights necessary to share that content.
You remain responsible for the content you provide and for ensuring that it does not violate any third-party rights, confidentiality obligations, or applicable laws.
Links to other websites
Our website, documentation, or Products may contain links to third-party websites, tools, templates, tutorials, plugins, libraries, AI tools, or services that are not owned or controlled by Final Draft UI.
We do not control and are not responsible for the content, privacy policies, terms, availability, or practices of any third-party websites or services.
You acknowledge and agree that Final Draft UI is not responsible or liable for any damage or loss caused or alleged to be caused by your use of or reliance on third-party content, products, or services.
We strongly recommend reading the terms and privacy policies of any third-party websites or services you use.
Account access and security
If you create an account or receive access credentials, download links, license keys, or private files, you are responsible for maintaining their confidentiality.
You are responsible for all activity that occurs under your account, license, or access link.
You must notify us promptly if you suspect unauthorized access, license misuse, or a security issue.
Termination
We may suspend, restrict, revoke, or terminate your access to Final Draft UI immediately, without prior notice or liability, if we believe that:
You breached these Terms
You violated the license terms
You shared, resold, leaked, or redistributed paid files
You used the Product to create a competing product
Your payment was fraudulent, disputed, reversed, or unauthorized
Your use creates legal, security, reputational, or operational risk
We are required to do so by law
If you wish to terminate your use of Final Draft UI, you may stop using the Service and delete any local copies, subject to any continuing obligations under these Terms.
Provisions that by their nature should survive termination will survive, including intellectual property, prohibited use, payment obligations, warranty disclaimers, indemnity, limitation of liability, and governing law.
Indemnification
You agree to defend, indemnify, and hold harmless Final Draft UI, its owners, directors, employees, contractors, partners, suppliers, affiliates, licensors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including reasonable legal fees, arising from:
Your use of or access to the Service or Products
Your violation of these Terms
Your violation of any license terms
Your misuse or redistribution of the Products
Your violation of any third-party rights
Content, files, links, or materials you submit to us
Work you create using Final Draft UI
Limitation of liability
To the fullest extent permitted by law, Final Draft UI and its owners, directors, employees, contractors, partners, suppliers, affiliates, licensors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, or other intangible losses resulting from:
Your access to or use of the Service or Products
Your inability to access or use the Service or Products
Errors, bugs, defects, inaccuracies, or omissions in the Products
Third-party tools, websites, services, or platforms
Unauthorized access, use, alteration, or disclosure of your data or content
Any conduct or content of any third party
Your reliance on design, code, documentation, AI workflow resources, or other materials provided by Final Draft UI
This limitation applies whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been informed of the possibility of such damages.
Disclaimer of warranties
Final Draft UI Products and Services are provided on an "AS IS" and "AS AVAILABLE" basis.
We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, compatibility, or course of performance.
We do not warrant that:
The Service or Products will meet your specific requirements
The Products will be error-free, complete, secure, or uninterrupted
Bugs, defects, or inaccuracies will be corrected
The Products will remain compatible with all third-party tools or platforms
AI-assisted outputs will be accurate, accessible, production-ready, or consistent
Design or code resources will be suitable for every project, jurisdiction, use case, or accessibility requirement
You are responsible for testing, reviewing, customizing, and validating the Products before using them in production, commercial work, client work, or regulated environments.
Accessibility and compliance
Final Draft UI may be designed with accessibility and usability best practices in mind, but we do not guarantee that every component, pattern, template, or implementation will meet all accessibility, legal, regulatory, or industry-specific requirements in your jurisdiction or use case.
You are responsible for reviewing and testing your final product for accessibility, compliance, usability, performance, and legal requirements before launch.
Professional advice disclaimer
Any content, documentation, examples, guides, AI prompts, business suggestions, implementation notes, or educational materials provided by Final Draft UI are for general informational purposes only.
They do not constitute legal, financial, tax, business, accessibility, security, or professional advice.
You should consult qualified professionals where appropriate.
Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, some of the limitations above may not apply to you.
In such cases, our liability will be limited to the maximum extent permitted by applicable law.
Governing law
These Terms are governed by and construed in accordance with the laws of South Africa, without regard to conflict of law principles.
Entire agreement
These Terms, together with any applicable license terms, refund policy, privacy policy, and purchase terms, constitute the entire agreement between you and Final Draft UI regarding the Service and Products.
They supersede any prior agreements, communications, or understandings relating to the Service or Products.
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.
No waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Changes to these Terms
We may modify, update, or replace these Terms at any time at our sole discretion.
If a change is material, we will provide notice where legally required or commercially reasonable. What constitutes a material change will be determined at our discretion.
By continuing to access, purchase, download, or use Final Draft UI after revised Terms become effective, you agree to be bound by the updated Terms.
If you do not agree to the revised Terms, you must stop using the Service and Products.
